Partner Terms & Conditions

1. Program Overview

The Vincony Partner Program ("Program") allows approved partners ("Partners") to earn commissions by referring new paying subscribers to Vincony. Partners may be classified as Influencers or Affiliates.

2. Commission Structure

• Default commission rate: 25% recurring on net subscription revenue.
• Commission is earned for each billing cycle the referred subscriber remains active.
• Commissions cease upon subscriber cancellation or refund.
• Vincony reserves the right to adjust commission rates with 30 days' notice.
• Custom commission rates may be set per partner at Vincony's discretion.

3. Referral Discount

Referred users receive a 10% discount on their first billing cycle (first month for monthly plans, first year for annual plans). This discount is not stackable with other promotions unless explicitly approved.

4. Attribution & Cookies

• Attribution is tracked via referral links and creator codes.
• Cookie attribution window: 90 days.
• If both a link and code are used, the most recent valid attribution applies.

5. Payouts

• Payouts are processed monthly.
• Minimum payout threshold: $100 USD.
• Payout methods: PayPal, bank transfer, or Wise.
• Commissions may be held for up to 30 days after earning for fraud review.

6. Code of Conduct

• Partners must not engage in misleading advertising or spam.
• Partners must not bid on Vincony brand keywords in paid search.
• Partners must not create fake accounts or self-refer.
• Partners must comply with all applicable advertising regulations.

7. Fraud Policy

Vincony actively monitors for fraudulent activity including self-referrals, code stacking, duplicate signups, and first-cycle discount abuse. Violations may result in commission reversal, account suspension, and forfeiture of unpaid commissions.

8. Termination

Either party may terminate the partnership at any time. Upon termination, pending verified commissions above the payout threshold will be paid within 60 days. Unvested or fraudulent commissions will be forfeited.

9. Intellectual Property

Partners are granted a limited, non-exclusive license to use Vincony brand assets from the provided promo kit for promotion purposes only. This license terminates upon partnership termination.

10. Liability & Indemnification

Partners operate as independent contractors, not employees or agents of Vincony. Partners agree to indemnify Vincony against claims arising from their promotional activities. Vincony's liability under this program is limited to unpaid verified commissions.

11. Governing Law

These terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of London, England.

12. Changes to Terms

Vincony may update these terms at any time. Material changes will be communicated via email with at least 30 days' notice. Continued participation constitutes acceptance.
